WynnPack Stock Packaging Membership
Terms of Service
Effective Date: February 25, 2026
These Terms of Service (“Agreement”) govern participation in the WynnPack Stock Packaging Membership (“Membership”). By purchasing or renewing a Membership, the Member agrees to the following terms and conditions.
1. Membership Eligibility
1.1 Membership is available to registered businesses only.
1.2 Each Membership is valid for one legal business entity.
1.3 Each Membership includes up to three (3) authorized user logins.
1.4 All authorized user email addresses must reflect the Member’s company domain and be affiliated with the same business entity.
1.5 WynnPack reserves the right to request verification of business status or authorized users at any time.
2. Membership Tiers & Pricing Structure
2.1 WynnPack offers two membership tiers:
Gold Member ($250/year): Pricing set at 5% above distributor cost plus credit card processing fees.
Platinum Member ($500/year): Distributor pricing plus credit card processing fees (no markup).
2.2 Membership fees are annual and non-refundable except as required by law.
2.3 Membership benefits apply only during the active membership term and are not retroactive.
3. Pricing & Product Availability
3.1 All product pricing is subject to change without notice due to supplier cost changes, market conditions, or availability.
3.2 Distributor pricing is based on current supplier pricing and may fluctuate.
3.3 WynnPack does not guarantee that any product will remain available at a specific price for any duration. Membership does not guarantee cost savings compared to any other supplier or distributor.
3.4 Product availability is not guaranteed. Items may be temporarily out of stock, discontinued, or subject to supplier allocation.
3.5 WynnPack reserves the right to enforce supplier minimum order quantities (MOQs) on any product, including for Membership orders.
4. Backorders
4.1 If an item is unavailable at the time of order, it may be placed on backorder unless otherwise requested by the Member.
4.2 Backordered items will be shipped once available.
4.3 Backordered shipments will not incur freight charges beyond the freight terms agreed upon at the time of the original purchase.
4.4 If the original order qualified for free local delivery (orders over $800-Preferred or $850-Signature), the backordered portion will also ship at no additional freight cost.
5. Shipping & Delivery
5.1 Free local delivery applies to qualifying orders over $750-Preferred or $800-Signature within WynnPack’s designated service area.
5.2 Orders below the free shipping threshold are subject to applicable freight charges.
5.3 Shipping timelines are estimates and not guarantees. WynnPack is not liable for delays caused by suppliers, carriers, weather, or other factors beyond its control.
5.4 WynnPack reserves the right to apply freight surcharges if carrier rates materially increase due to market conditions. Members will be notified of any such surcharges prior to shipment.
6. Returns & Order Accuracy
6.1 Members are responsible for reviewing all order confirmations for accuracy.
6.2 Stock packaging returns may be subject to supplier return policies, restocking fees, and return freight charges.
6.3 Custom packaging items are non-returnable unless defective or incorrect due to WynnPack error.
6.4 Claims for shortages or damages must be reported within five (5) business days of receipt.
7. Membership Use & Restrictions
7.1 Membership benefits are non-transferable.
7.2 Membership may not be shared, resold, or used to purchase products on behalf of a third party unless explicitly agreed to in a separate written agreement signed by an authorized representative of WynnPack.
7.3 WynnPack reserves the right to suspend or terminate membership if misuse, abuse, or fraudulent activity is suspected.
8. Payment Terms
8.1 Payment terms for product purchases are subject to approved credit terms or prepayment requirements.
8.2 Late payments may result in suspension of membership benefits and a hold on open or pending shipments until the account is brought current.
8.3 WynnPack reserves the right to revoke distributor-level pricing if accounts are delinquent.
8.4 WynnPack reserves the right to place a credit hold on any account with unpaid invoices, suspending shipments until all outstanding balances are resolved.
9. Tax Exemption
9.1 Members claiming tax-exempt status must provide a valid resale certificate or other applicable tax exemption documentation prior to placing tax-exempt orders.
9.2 WynnPack reserves the right to collect applicable sales tax until valid documentation is on file.
9.3 Members are solely responsible for the accuracy of any tax documentation submitted.
10. Term & Renewal
10.1 Membership is valid for twelve (12) months from the date of purchase.
10.2 Membership may be renewed annually at the then-current rate.
10.3 WynnPack reserves the right to modify membership pricing or structure upon renewal with prior notice.
11. Limitation of Liability
11.1 WynnPack shall not be liable for indirect, incidental, or consequential damages arising from product delays, shortages, or pricing changes.
11.2 Total liability shall not exceed the amount paid for the specific product order giving rise to the claim.
12. Force Majeure
WynnPack shall not be liable for any failure or delay in performance under this Agreement arising out of or related to causes beyond its reasonable control, including but not limited to acts of God, natural disasters, pandemics, epidemics, government actions, labor disputes or strikes, supplier failures, transportation disruptions, or other supply chain interruptions. In such events, WynnPack will notify Members as soon as reasonably practicable and will use commercially reasonable efforts to resume normal operations.
13. Dispute Resolution
13.1 The parties agree to attempt to resolve any dispute arising under or related to this Agreement through good-faith negotiation before initiating formal proceedings.
13.2 If the parties are unable to resolve a dispute through negotiation within thirty (30) days, the dispute shall be submitted to binding arbitration administered by the American Arbitration Association (AAA) under its Commercial Arbitration Rules.
13.3 Arbitration shall take place in Chicago, Illinois. The arbitrator’s decision shall be final and binding, and judgment may be entered in any court of competent jurisdiction.
13.4 Notwithstanding the foregoing, either party may seek injunctive or other equitable relief in a court of competent jurisdiction to prevent irreparable harm.
14. Governing Law
This Agreement shall be governed by and construed in accordance with the laws of the State of Illinois, without regard to its conflict of law principles. Any legal proceedings not subject to arbitration under Section 13 shall be brought exclusively in the state or federal courts located in Cook County, Illinois, and the parties hereby consent to the personal jurisdiction of such courts.
15. Modification of Terms
WynnPack reserves the right to update or modify these Terms of Service at any time. Updated terms will be posted on the WynnPack website and will apply prospectively. Continued use of Membership benefits after the effective date of any modification constitutes acceptance of the revised terms.
16. Termination
WynnPack reserves the right to terminate membership at its discretion for violation of these Terms. In such cases, membership fees are non-refundable except at WynnPack’s sole discretion. Upon termination, all membership benefits cease immediately and any outstanding balances remain due and payable.
By purchasing or renewing a WynnPack Membership, the Member acknowledges that they have read, understood, and agree to be bound by these Terms of Service.
